General Terms of Service
1. Payment Structure
A 50% non-refundable deposit is required to initiate the project.
The remaining balance is due upon delivery of the final, approved deliverables and before the release of production files, packaged assets, or transfer of rights.
Work will not begin until the payment method is confirmed at the time of estimate acceptance.
All invoices are payable within the stated due date unless otherwise agreed in writing.
2. Accepted Payment Methods
E-transfer (no additional fee)
Credit/Debit Card (3% processing fee)
Bank EFT / Direct Deposit (1% processing fee)
3. Scope of Work & Revisions
The project fee covers only the deliverables and services listed in the approved scope of work.
Any additional concepts, revisions beyond the agreed limit, exploration, or changes to direction will be billed at the current hourly or project rate.
A change of scope must be approved in writing before additional work begins.
4. Timeline & Client Responsibilities
Project timelines assume timely client feedback, content delivery, and approvals.
Delays caused by the client may result in shifted delivery dates and/or incur additional fees.
The designer is not liable for missed deadlines due to incomplete or delayed client inputs.
5. Cancellations & Refunds
Deposits are non-refundable once work has begun.
If the client cancels the project after work has started, the client is responsible for the cost of all work completed up to the cancellation date.
If the client pauses the project for more than 30 days, it may be subject to rescheduling or re-quoting upon restart.
6. Usage Rights & Ownership
Final deliverables are licensed to the client for the approved project and intended usage.
Full ownership and rights transfer only after all invoices are paid in full.
Preliminary concepts, unused designs, drafts, and working files remain the intellectual property of Delany Odanga unless specifically purchased or negotiated.
Designer retains the right to display completed work in portfolios, case studies, and promotional channels unless a separate NDA or exemption is agreed upon.
7. File Delivery & Archiving
Final files will be provided in industry-standard formats suitable for the deliverable.
Source files (e.g., working files, project files) are not included unless explicitly stated.
Files are archived for up to 12 months; retrieval after this period may incur a fee.
8. Late Payments
A late fee of 2% per month (or the maximum allowed by local law) may apply to overdue invoices.
In case of non-payment, all work may be paused until the account is brought current.
9. Confidentiality
All client materials, conversations, and documents will be handled confidentially.
Both parties agree not to disclose proprietary information unless legally required.
10. Professional Standards & Liability
The designer will deliver professional-grade work based on industry standards.
The client is responsible for final proofreading and approval of all deliverables.
The designer is not liable for any loss or damages arising from the use of the delivered work after approval.
